Terms of Service
Working With Idea Launchpad
These terms outline the expectations, responsibilities, and limitations that keep our collaborations smooth and transparent.
Last updated: November 18, 2025
1. Program Overview
The Idea Launchpad MVP Foundry evaluates profit-focused ideas, invests our internal product team to build the MVP, and stays involved through ongoing releases. By visiting this website, submitting your IDEA, or entering a Foundry engagement, you agree to these Terms and any documents they reference (including the Foundry Agreement and posted policies).
2. Eligibility & IDEA Intake
You must be at least 18 years old and able to enter binding agreements. Idea submissions must be accurate and may not infringe the rights of others. We treat submissions confidentially, but sending an IDEA through the site does not create exclusivity or obligate us to accept the project.
- Do not share unlawful, defamatory, or malicious content.
- Only submit ideas that you have the right to discuss and to incorporate into a joint build.
- You grant us a license to review the materials solely for evaluating the IDEA.
3. Scope & Delivery
Each accepted IDEA receives a roadmap that outlines milestones, key deliverables, and expected build windows. We ship in sequenced releases so you can test quickly, and we reserve discretion over design systems, implementation details, and the tools used. Any work outside the roadmap is quoted separately before we proceed.
4. Fees, Tiers & Revenue Share
Founders select a monthly tier that sets build velocity. Fees are due in advance each month unless the subscription is paused or changed with 30 days’ notice. You remain responsible for external costs such as hosting, SMS gateways, analytics, or licenses. When the product generates revenue, we retain the advertising inventory and keep the pre-agreed profit margin before remitting any founder share.
5. Ownership & Licenses
Unless a signed agreement states otherwise, Idea Launchpad owns all code, infrastructure, design systems, advertising placements, and derivative works created inside the MVP Foundry. You receive a non-transferable license to operate the resulting product for your business objectives. Republishing, reselling, or sublicensing the code without our written consent is prohibited.
6. Confidentiality & Publicity
Each party will protect the other’s non-public information and use it only for the project. We may mention your IDEA in private pipeline reviews or anonymous portfolio metrics, but we will request consent before using brand marks or confidential results in marketing.
7. Founder Responsibilities
Successful builds require constant collaboration. By participating you agree to:
- Provide timely feedback, approvals, and decision-maker access within the cadence we set.
- Fund or provision accounts for third-party tools, content, compliance reviews, and distribution partners.
- Flag regulatory or industry-specific obligations that could affect scope or roadmap selection.
8. Data Handling & Security
We store submission data inside vetted systems such as our hosting platform, form processors, and email provider Resend. If an email provider outage occurs, we save a copy of your submission in a secure /tmp/idea-submissions directory until our team manually retrieves it. You consent to this processing and to cross-border transfers described in our Privacy Policy.
9. Disclaimers
MVP development and go-to-market efforts involve technical and commercial risk. We provide services “as is,” without warranties (express or implied) regarding merchantability, fitness for a particular purpose, uptime, or success of any business outcomes.
10. Limitation of Liability
To the extent allowed by law, Idea Launchpad will not be liable for indirect, incidental, special, or consequential damages, lost profits, or data loss. Our aggregate liability for any claim will not exceed the fees you paid during the twelve (12) months preceding the event giving rise to the claim.
11. Term & Termination
Either party may terminate the engagement for uncured material breach (10-day notice) or if a founder fails to pay subscription fees. We may also pause or terminate if we determine the IDEA is infeasible, illegal, or poses reputational risk. Upon termination you remain responsible for accrued fees, and our ownership rights survive.
12. Governing Law
These Terms are governed by the laws of the jurisdiction where Idea Launchpad is incorporated, without regard to conflicts of law. Courts in that jurisdiction will have exclusive venue unless both parties agree to mediated or arbitrated resolution.
13. Contact
Email [email protected] with any legal questions, notices, or requests for custom agreements. We are happy to clarify how these Terms apply to your IDEA.
